In this episode, Karen Woody, Assistant Professor of Law at Washington & Lee School of Law, discusses her article "The New Insider Trading," which will be published in the Arizona State Law Journal. Woody begins by describing what insider trading is, how it is regulated under Rule 12b-6, and the limits courts have placed on the scope of insider trading. In particular, she observes that the personal benefit requirement limits the scope of insider trading regulation and creates uncertainty. She notes that the Department of Justice has recently begun pursuing insider trading charges under a provision of the Sarbanes-Oxley Act, and discusses how this could affect the law of insider trading.
